1. Introduction: Welcome to Dipole Studio ("Company", "we", "our", "us"). These Terms and Conditions govern your use of our website located at www.dipole.studio and the services provided by us. Dipole Studio is a trading name and operating brand of Dipole Media Production Ltd., a company registered in Ontario, Canada. By accessing this website or engaging our services, you agree to abide by these Terms.

2. Services: Dipole Studio provides digital agency services, including but not limited to:

  • Web Design & Development (Wix Studio, Custom Code)

  • Search Engine Optimization (SEO) & Answer Engine Optimization (AEO)

  • Brand Identity & Strategy

  • Performance Marketing & Advertising

3. Intellectual Property:

  • Client Ownership: Upon full payment of all fees, the Client is granted full ownership of the final deliverables (e.g., the launched website, logo files).

  • Agency Rights: Dipole Studio retains the right to use the completed project for self-promotion (e.g., in our portfolio or case studies) unless a Non-Disclosure Agreement (NDA) has been signed.

  • Background IP: Dipole Studio retains ownership of any pre-existing code, frameworks, or proprietary tools used to create the deliverables.

4. Payments & Refunds: Specific payment terms (deposits, milestones, and balances) are outlined in individual Client Proposals, Service Agreements or Invoices.

  • Refunds: All deposits are non-refundable once the service agreement is signed.

5. Limitation of Liability: To the maximum extent permitted by applicable law, Dipole Media Production Ltd. shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our services or website. Our total liability shall not exceed the total amount paid by the Client to the Agency for the specific project in question.

6. Governing Law: These Terms shall be governed by and defined following the laws of Ontario, Canada. Any dispute arising in relation to these Terms shall be subject to the jurisdiction of the courts of Ontario.
